Bizbooth Terms and Conditions of Sale (T&C)

2. Purpose and Scope
These Terms and Conditions apply to all sales of products and services made by the Seller to business customers, regardless of the sales channel or the form of the order (quote, purchase order, pro forma invoice, etc.).
No special or conflicting terms may take precedence over these Terms and Conditions unless the Seller has formally accepted them in writing.
3. Products and Services
The Seller offers, in particular:
Raw wood photo booths;
Accessories and electronic components for photo booths (computer, monitor, camera, cables, flash, etc.);
Where applicable, digital products (documents, training materials, videos, etc.).
The key specifications (dimensions, composition, price, delivery time, etc.) are described in the quote or any other contractual document.
The Seller reserves the right to modify its offers or update the information appearing on its website or in its sales materials (due to technical, legal, or regulatory changes).
3.1. Natural variations in wood
The Customer is advised that, as a natural material, raw wood may contain knots, variations in color, grain patterns, and other characteristics that do not constitute defects but rather reflect the unique nature of the material used.
4. Ordering and Quotes
Request for a Quote: The Customer submits a request for a quote to the Seller.
Issuing the quote: The Seller provides a detailed quote that includes a description of the product, the price, shipping costs, and any other specific terms.
Order Confirmation: The order is considered confirmed upon the Customer’s signature of the quote, accompanied by the notation “Agreed,” and the payment of a deposit equal to 40% of the total amount (unless otherwise specified in the quote).
Order Changes: Any changes made after the order has been confirmed must be accepted in writing by the Seller and may result in a new quote or additional billing.
4.1. Order Cancellation / Deposit
Non-refundable deposit: Unless otherwise specified in writing, the deposit paid at the time of the order is non-refundable in the event of cancellation by the Customer, particularly once production or preparation has begun.
If the Seller is unable to fulfill the order for reasons attributable to the Seller, the deposit will be refunded within a reasonable period of time.
4.2. Right of Withdrawal
In accordance with the French Consumer Code, the 14-day right of withdrawal applies only to consumers (natural persons acting for non-professional purposes).
Consequently, in the context of a B2B relationship, the Business Customer does not have this right of withdrawal.
If, in exceptional cases, the Seller offers a contractual right of withdrawal, this must be formalized in writing on the quote or contract, along with its specific terms and conditions.
5. Prices and Shipping Costs
Prices: Prices are listed in euros before tax (excl. tax); 20% VAT applies.
Shipping costs: Set at €150 per order, unless otherwise specified in the quote.
Revision: The Seller reserves the right to change its rates at any time, but agrees to apply the rates specified in the quote approved by the Customer.
6. Payment Terms
Deposit: 30% of the total amount is due upon signing the estimate.
Balance: The balance (70%) must be paid before the photo booth is shipped, unless otherwise specified in the quote.
Late payment: Any delay shall automatically and without formal notice result in the application of penalties equal to three times the statutory interest rate, as well as a fixed compensation of €40 (Article L441-10 of the Commercial Code).
Retention of title: The products remain the property of the Seller until full payment of the purchase price (Articles 2367 et seq. of the Civil Code).
7. Delivery and Lead Times
Delivery area: Metropolitan France and the European Union.
Carrier: UPS or any other professional carrier.
Delivery Times: Generally, items are shipped within 30 days of receipt of the balance (or the down payment, if applicable).
In the event of a stock shortage or extended delivery time, the Seller will notify the Customer.Risks: Risk passes to the Customer upon delivery. The Customer must inspect the condition of the package and immediately file a claim with the carrier in the event of any damage.
8. Statutory Warranty
8.1. Photobooth Structure
The wooden frame of the photo booth is covered by a 12-month warranty from the date of delivery against any manufacturing defects that render the product unfit for its intended use.
This warranty covers only internal structural defects attributable to the manufacturing process (e.g., gluing, assembly, wood treatment).
The following are not considered manufacturing defects:
natural variations in wood (grain, color, knots, microcracks, surface cracks);
cosmetic defects that do not affect stability or function;
damage caused by improper installation, improper storage, or a humid or hot environment.
In accordance with Article 1643 of the Civil Code, the warranty against hidden defects is limited to twelve (12) months from the date of delivery.
After this period, no claims will be accepted, except in the case of a defect intentionally concealed by the Seller.
As a reminder, according to Article 1641 of the Civil Code:
“The seller is liable under the warranty for hidden defects in the item sold that render it unfit for its intended use, or that so impair its use that the buyer would not have purchased it, or would have paid only a lower price for it, had the buyer known of such defects.”
8.2. Electronic components
Refurbished DELL Latitude 7400 computer/monitor: 12 months
Canon R100 camera: 12 months (24-month manufacturer's warranty)
Godox Flash: 12 months (3 months for the bulb)
8.3. Enforcement of the Warranty
In the event of a defect covered by the warranty, the Seller will provide a standard replacement.
Return shipping costs are covered by the Seller (only for defects covered by the warranty).

The Customer must describe the defect and include proof of purchase.
8.4. Installation and Use
The Customer is solely responsible for the proper installation of the photo booth and its accessories, in accordance with:
the assembly and user manuals,
in accordance with electrical standards,
and environmental conditions (temperature, humidity, stability).
The Seller shall not be held liable in the event of:
improper installation,
improper use,
deterioration caused by an unsuitable environment.
8.5. Maintenance and Storage
The Customer agrees to maintain the wooden structure on a regular basis (protection against moisture, and, if necessary, application of a suitable varnish or oil).
The Seller shall not be held liable for any damage resulting from lack of maintenance, improper storage, or prolonged exposure to extreme weather conditions.
9. Coverage in the event of a dispute or damage
The Seller is covered by insurance through Mutuelle de Poitiers for any disputes or damages that may arise during the sale or the provision of services.
In the event of a claim, the Customer must contact the Seller as soon as possible to initiate the insurance claim process.
10. Intellectual Property
10.1. Digital Structures and Products
The materials created by the Seller (templates, documents, training materials, videos, etc.) are protected by intellectual property law.
10.2. License Agreement
The purchase of a photo booth or digital products does not entail any transfer of intellectual property rights.
The Customer is granted only a non-exclusive, non-transferable right of private use, unless otherwise agreed in writing.
10.3. Prohibition on Reproduction
Any reproduction, display, distribution, or use, in whole or in part, without prior written permission is strictly prohibited.
11. Liability
11.1. Compliance with specifications
The Seller agrees to supply products that comply with the specifications set forth in the approved quotation.
11.2. Force Majeure
The Seller shall not be held liable for any failure to perform its obligations in the event of force majeure (strikes, shortages, disasters, pandemics, etc.).
11.3. Content and Personal Data
The Seller has no control over the Customer’s use of the photo booth (taking photos, collecting data, etc.).
Compliance with the GDPR and image rights is the sole responsibility of the Customer.
The Seller assumes no liability for content generated via the kiosk.
12. Dispute Resolution
12.1. Out-of-court settlement
The parties shall endeavor to resolve any dispute amicably.
12.2. Jurisdiction
In the absence of an agreement, the courts within the jurisdiction of the Seller’s principal place of business shall have exclusive jurisdiction, unless otherwise provided by law.
12.3. Governing Law
These Terms and Conditions are governed by French law.
12.4. Mediation
The Customer may contact a mediator or use the European Online Dispute Resolution platform for cross-border disputes.
13. Severability Clause
If any provision is held to be invalid, the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These Terms and Conditions, together with the quote or invoice, constitute the entire agreement between the parties.
15. Acceptance of the Terms and Conditions
Signing the quote or placing an order constitutes full and unconditional acceptance of these Terms and Conditions.
Legal warranty against hidden defects – Business customers
1. General Principle
In accordance with Articles 1641 et seq. of the Civil Code, Jonathan Boquillon warrants to its business customers that the Bizbooth Photobooth is free from hidden defects that would render it unfit for use or significantly reduce its usefulness.
This warranty applies provided that the defect existed prior to delivery and was not apparent at the time of purchase.
2. Scope
This applies to internal defects that are not apparent upon delivery, such as:
internal manufacturing defects;
electrical or connection malfunctions related to assembly.
3. Rights and Remedies
If a latent defect is discovered, the business customer may request:
cancellation of the sale (refund upon return of the product), or
a price reduction proportional to the loss in value.
4. Implementation Procedures
The Customer must:
notify the Seller within a reasonable time after discovering the defect,
provide supporting evidence (photos, technical report, etc.),
and make the product available for inspection.
5. Exclusions
The warranty does not cover:
normal wear and tear resulting from professional use;
damage caused by a lack of maintenance or unauthorized repairs;
defects apparent upon receipt.
6. Special Provisions
The Seller provides the technical documents necessary for proper use.
Any unauthorized modification of the product will void the warranty.
